Terms of Service

1. Agreement to these Terms

These Terms of Service (“Terms”) are an agreement between you and Holifit LLC (“Holifit,” “we,” “us,” or “our”). By creating an account, accessing, or using the Holifit services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use Holifit.

If you use Holifit for an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

2. Eligibility and accounts

You must be at least 13 years old to use Holifit. If you are under the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms for you. Holifit is not directed to children under 13.

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and must promptly tell us about suspected unauthorized access. You may not share, transfer, sell, or create accounts through automated means.

3. Fitness, wellness, and Apple Health information

Holifit can use information from the Apple Health app and other information you provide to summarize activity, sleep, recovery, training, body composition, and related wellness signals. Measurements, scores, predictions, readiness indicators, strain estimates, recommendations, and similar outputs may be incomplete, delayed, or inaccurate.

Holifit is not a medical device or healthcare provider and does not provide medical advice, diagnosis, treatment, emergency monitoring, or clinical decision support. Holifit is not a substitute for professional judgment. Consult a qualified healthcare professional before changing exercise, sleep, nutrition, medication, or treatment, particularly if you have a medical condition, are pregnant, are injured, or experience concerning symptoms. If you believe you are experiencing an emergency, contact local emergency services immediately.

You control Apple Health permissions through Apple’s system settings. You are responsible for using suitable equipment, checking your surroundings, choosing appropriate intensity, and stopping activity when necessary.

4. AI-generated features

Some Holifit features use artificial intelligence to generate coaching, summaries, exercise suggestions, training plans, equipment recognition, nutrition-related information, and other content. AI outputs can be incorrect, biased, incomplete, or unsuitable for your circumstances. They are generated from probabilistic systems and should be reviewed before use.

Do not rely on AI output as medical, nutritional, legal, or other professional advice. Do not submit content that you lack the right to use, or highly sensitive information that is unnecessary for the requested feature. We may change models, providers, safeguards, or feature availability as the service evolves.

5. Limited license and acceptable use

Subject to these Terms, Holifit grants you a personal, limited, non-exclusive, non-transferable, revocable license to use the service for your own lawful fitness and wellness purposes.

You may not:

• use Holifit unlawfully, fraudulently, or to harm another person;
• interfere with, overload, probe, or circumvent service or security controls;
• reverse engineer, scrape, copy, or extract the service except where law permits;
• use automated systems to access the service without our written permission;
• upload malware or content that violates privacy, publicity, or intellectual-property rights;
• misrepresent Holifit output as medical advice or use it for clinical decision-making; or
• use the service or its output to develop or train a competing model or service without permission.

6. Your content and feature-board activity

You retain ownership of text, images, workout data, journal entries, voice transcripts, feedback, and other content you provide (“Your Content”). You grant Holifit a limited, worldwide license to host, process, reproduce, and transmit Your Content only as reasonably necessary to operate, secure, support, and improve the service, comply with law, and fulfill your requests.

Feature requests, votes, and comments submitted to Holifit’s feedback board may be visible to other users. Do not post private health information or other confidential material there. We may moderate, merge, edit for clarity, or remove feedback to keep the board useful and safe. You grant us permission to use suggestions and feedback without restriction or compensation, but this does not transfer ownership of other content you provide.

7. Third-party services

Holifit interoperates with services such as Apple Health, authentication providers, hosting and storage providers, AI providers, and our feedback platform. Third-party services are governed by their own terms and policies. We are not responsible for a third party’s independent service, availability, or conduct. Your use of Apple products also remains subject to Apple’s applicable agreements.

8. Holifit ownership

Holifit and its licensors own the service, including its software, interfaces, visual design, trademarks, models, documentation, and non-user content. Except for the limited license above, these Terms do not grant you rights in Holifit intellectual property. “Holifit” and related marks may not be used without written permission.

9. Service changes, beta features, and availability

We may add, change, suspend, or discontinue features, including experimental or beta features. Beta features may be less reliable and can change without notice. We do not guarantee uninterrupted service, preservation of every local or cloud record, or compatibility with every device, operating system, or third-party service. Keep independent records when continued access is important.

10. Suspension and termination

You may stop using Holifit at any time. You may request deletion of your account and associated information as described in the Privacy Policy. We may suspend or terminate access if we reasonably believe you violated these Terms, created risk for users or the service, or if required by law. Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue.

Provisions that by their nature should survive termination—including ownership, disclaimers, limitations of liability, and dispute provisions—will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLIFIT IS PROVIDED “AS IS” AND “AS AVAILABLE.” HOLIFIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT OUTPUTS OR DATA WILL BE ACCURATE, COMPLETE, SECURE, AVAILABLE, OR ERROR-FREE.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you. Nothing in these Terms limits rights that cannot lawfully be waived.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLIFIT AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, PROFITS, GOODWILL, OR OPPORTUNITY; PERSONAL INJURY ARISING FROM ACTIVITIES YOU CHOOSE; OR RELIANCE ON AI OR WELLNESS OUTPUTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLIFIT’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID HOLIFIT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits apply even if a remedy fails its essential purpose.

13. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold Holifit harmless from third-party claims arising from your unlawful use of the service, Your Content, or your material violation of these Terms. This obligation does not apply to the extent a claim results from Holifit’s own conduct.

14. Disputes and governing law

Before filing a formal claim, please contact support@holifit.ai and give us 30 days to try to resolve the issue informally. These Terms are governed by the laws applicable in the jurisdiction where Holifit LLC has its principal place of business, without regard to conflict-of-law rules, except that mandatory consumer-protection law where you live continues to apply.

Nothing in this section prevents either party from seeking urgent injunctive relief or using an eligible small-claims process. We do not require arbitration or waive class action rights in this version of the Terms.

15. Apple-specific terms

If you downloaded Holifit through Apple’s App Store, you acknowledge that these Terms are between you and Holifit, not Apple. Apple has no obligation to provide maintenance or support for Holifit. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable App Store-related provisions against you.

16. General terms and contact

We may update these Terms to reflect service, legal, or operational changes. We will post the updated version and revise the date above. If a change materially affects your rights, we will provide additional notice where required. Continued use after the effective date means you accept the updated Terms.

If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Holifit may assign them in connection with a merger, financing, acquisition, or transfer of the service, subject to applicable law.
